Terms & Conditions


These terms and conditions (the “Terms”) govern the provision of website design and development services (the “Services”) by eCommerce 23 Ltd (“we,” “us,” or “our”) to our customers (the “Customers”).


Customers shall pay eCommerce 23 Ltd 50% of the total cost of the Services upfront as a non-refundable deposit (“Deposit”) to initiate the work. Upon receipt of the Deposit, eCommerce 23 Ltd shall commence work on the Services. The remaining 50% of the total cost of the Services shall be paid upon completion of the Services.


eCommerce 23 Ltd shall deliver the completed Services to the Customers upon receipt of the final payment for the Services. All intellectual property rights in the completed Services shall belong to the Customers upon delivery.


Customers may cancel the Services by providing eCommerce 23 Ltd with written notice of cancellation at any time prior to the completion of the Services. In the event of cancellation, eCommerce 23 Ltd shall retain the Deposit as liquidated damages.

Warranties and Representations

eCommerce 23 Ltd represents and warrants that:

(a) The Services shall be performed in a professional and workmanlike manner;
(b) The Services shall comply with all applicable UK laws and regulations;
(c) The Services shall not infringe any third party intellectual property rights; and
(d) eCommerce 23 Ltd has the necessary skills, expertise, and experience to provide the Services.


eCommerce 23 Ltd’s liability for any claim arising out of or in connection with the Services shall be limited to the amount of fees paid by the Customers for the Services. In no event shall eCommerce 23 Ltd be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Entire Agreement

These Terms constitute the entire agreement between eCommerce 23 Ltd and the Customers and supersede all prior agreements and understandings, whether written or oral, relating to the Services.
